Terms of Service
Effective date: April 22, 2026
These Terms of Service ("Terms") govern your use of the NETSDS website and related cybersecurity services. By accessing or using this website, requesting services, or entering into a statement of work, you agree to these Terms.
1. About NETSDS Services
NETSDS provides cybersecurity services that may include consulting, assessments, security testing, implementation support, monitoring, and related professional services.
Detailed deliverables, timelines, pricing, and service levels are defined in project-specific documents such as proposals, statements of work, purchase orders, or master service agreements.
2. Eligibility and Acceptable Use
You agree to use this website and our services only for lawful purposes and in compliance with all applicable laws, regulations, and contractual obligations.
You must not:
- Use the website in a way that could disrupt or damage it.
- Attempt to gain unauthorized access to systems, accounts, or infrastructure.
- Use our services to engage in malicious activity or violate third party rights.
3. Client Responsibilities
To receive services, you agree to:
- Provide accurate information and timely access to required systems, environments, and personnel.
- Obtain all required internal and third-party approvals before testing, scanning, or other security activities.
- Maintain backups and business continuity safeguards for your own systems and data.
- Promptly review deliverables and communicate any concerns within agreed timelines.
4. Fees, Billing, and Payment
Service fees, billing schedules, and payment terms are defined in your applicable service agreement. Unless otherwise stated:
- All fees are non-refundable once services are performed.
- Late payments may incur service suspension and applicable charges.
- You are responsible for taxes, duties, and levies except taxes on NETSDS net income.
5. Intellectual Property
NETSDS and its licensors retain all rights, title, and interest in the website, branding, methods, tools, templates, and pre-existing materials.
Subject to payment and agreement terms, you receive a limited, non-exclusive right to use deliverables provided for your internal business purposes.
6. Confidentiality
Both parties may receive non-public information. Each party agrees to protect confidential information using reasonable safeguards and to use it only for purposes of performing or receiving services.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from a third party.
7. Disclaimer of Warranties
The website and services are provided on an "as is" and "as available" basis unless otherwise stated in a signed agreement.
NETSDS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent allowed by law.
Cybersecurity risk can be reduced but not fully eliminated. NETSDS does not guarantee that all threats, vulnerabilities, or incidents will be prevented or detected.
8. Limitation of Liability
To the fullest extent permitted by law, NETSDS will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, data loss, or business interruption.
NETSDS total aggregate liability arising from or related to the website or services will not exceed the amounts paid by you for the specific services giving rise to the claim during the 12 months before the event.
9. Indemnification
You agree to indemnify and hold harmless NETSDS, its affiliates, and personnel from claims, damages, liabilities, and expenses arising from your misuse of the website, breach of these Terms, or violation of law or third-party rights.
10. Third-Party Services and Links
The website may contain links to third-party sites or use third party integrations. NETSDS is not responsible for third-party content, availability, or practices.
11. Suspension and Termination
NETSDS may suspend or terminate access if you violate these Terms, pose security risk, fail to pay applicable fees, or where required by law.
Upon termination, provisions that by nature should survive (such as confidentiality, payment obligations, and liability limitations) will remain in effect.
12. Governing Law and Disputes
These Terms are governed by applicable laws of your service contract jurisdiction unless otherwise required by law.
The parties will first attempt to resolve disputes through good faith negotiation before pursuing formal legal remedies.
13. Changes to These Terms
NETSDS may update these Terms from time to time. Updated versions will be posted on this page with a revised effective date.
